Federal Procurement Counsel Duties: The candidate will be reviewing and analyzing RFP's; negotiating customer and major subcontractor contract! s; reviewing, drafting and negotiating various types of contracts, including non-disclosure agreements, letters of intent, memoranda of understanding, teaming agreements, consulting agreements, service agreements, master service agreements, license agreements and marketing agreements. Reviewing and preparing responses to requests for proposals, requests for quotes, requests for information and similar competitive bid documents from potential and existing customers of company. Reviewing and advising on documents prepared by clients, such as statements of work, service level agreements, pricing schedules and customer obligations. Identifying, analyzing and advising clients on various contractual provisions and issues. Working with clients to develop resolutions to business disputes. Negotiating with customers to achieve satisfactory resolution of the disputes. Ensuring compliance with all corporate policies and directives of the General Counsel. Working with and training clie! nts to help them properly approach and structure transactions.! Working with other internal corporate units in a collaborative manner. Reviewing internal policies and provide proactive legal advice to internal groups. Training internal clients on various contractual provisions, issues, approaches and preferred practices. Advising internal clients on various corporate policies, procedures, approaches and preferred practices. Fielding questions from clients in specialty areas, such as employment, tax, government, real estate, intellectual property, mergers and acquisitions, international and litigation, and determining, with the assistance of experts in the specialty areas, how to answer the questions.

Qualifications: The candidate should have a record of academic distinction at a highly-regarded university and law school, followed by a record of achievement as a lawyer. Must have 10+ years of legal experience in complex, contract law, business transactions, intellectual property, information technology, preferably in the! federal area. Should have 5+ years of extensive experience in the public sector area, including work with a top-tier law firm and (ideally) with a world-class IT services company. Extensive experience relating to bids and proposals, drafting and negotiating highly-specialized legal documents to include contracts, subcontracts and contract amendments required. Should have ability to identify legal risk of contemplated litigation or disputes in which the corporation is involved. Knowledge of industry norms and of the business and legal issues unique to IT services is needed.
