Momentum Aviation Group (MAG), a premier provider of Specialty Aviation, Aerial Surveillance, and Intelligence Surveillance and Reconnaissance Support and Training, seeks a qu! alified Assistant General Counsel. The successful candidate must share MAGâs passion for work and commitment to service, MAG customers, and compliance.
The Assistant General Counsel will serve as the designated point of contact on corporate legal issues, company compliance programs (including export control/trade compliance, Foreign Corrupt Practices Act (FCPA), and business ethics), and corporate governance. He/She will report to the Chief Strategy Officer .
Duties and Responsibilities:
Contracts
Review, negotiate, and manage all forms of contracts and third party agreements with customers, vendors and partners
Prepare employment related agreements
Advise Senior Management on legal issues regarding terms and strategies relating to contracts being reviewed and negotiated
Export Compliance / Corporate Compliance
Develop, implement, and maintain a robust and up-to-date export control, FCPA, and corpor! ate compliance program.
Ensure that company export, i! mport, and trade activities follow documented procedures compliant with current regulations and practices.
Prepare, submit, and track export license and other authorization requests to the Departments of State and Commerce, to include the preparation of Department of State âDSâ and âDSPâ submissions, Technical Assistance Agreements, General Correspondence Requests, and Department of Commerce 748P license and Commodity Classification Requests; and preparation and submission of Electronic Export Information to the Department of Commerce, as needed.
Maintain records of activities related to MAG exports as required by the ITAR, EAR, and the Foreign Trade Regulations.
Advise employees of customs and export regulations along with monitoring license use and compliance throughout the organization.
Governance and Structure
Work with Corporate Secretary to accomplish all Corporate Secretary functions, including preparation and revi! ew of agenda and meeting minutes for Board and associated committee meetings, assist with preparation of Board briefings, consent documents and other corporate governance documents
Draft and maintain governance documents for subsidiary corporations
Mergers and Acquisitions
Assist with corporate financing, investment, capitalization, and equity issues and documentation
Assist in managing outside counsel relating to mergers and acquisitions, international operations in foreign countries and expansion to new foreign markets
Other Responsibilities
Provide counseling and advice to Human Resources and other business and support units regarding employment issues and policies
Support transactional due diligence and compliance efforts
Ensure timely, high quality analysis and advice on legal and business issues to Senior Management
Assist the Chief Strategy Officer in other duties as needed
Skil! ls and Experiences Required
Juris Doctor and a member in good ! standing of a State or DC bar
Minimum 5+ years of experience as a practicing attorney
2+ yearsâ experience with U.S. export controls in the Aerospace and/or Defense sector
Strong contract analysis, negotiation and drafting skills
Substantive expertise with key provisions of most contracts
Strong knowledge of the Federal Acquisition Regulation
Familiarity with Department of State DTrade system, Department of Commerce SNAP-R system, and the Department of Commerce Bureau of Census Automated Export System
Strong communication skills (both written and verbal)
Ability to complete assigned tasks with minimal supervision
Familiarity with corporate information technology and records practices, and ability to understand, interpret, and effectively discuss technology, anticipate and resolve conflict
Proven ability to work at both detail and strategic levels; work calmly under pressure and with ! frequent interruptions and display sound judgment
Proficiency in Microsoft Office (Word, Excel, and PowerPoint)
Ability to prioritize tasks to meet deadlines
Background Clearances
Candidates must be eligible to serve as an Empowered Official and, as needed, must be eligible to obtain a U.S. Government security clearance.
Compensation
Starting salary is $110,000/year
