The General Counsel and Secretary position at Rosetta Stone is a key leadership and executive position within the organization. The General Counsel advises the CEO, Chairman and Board of Directors on all legal matters, issues and risks impacting the organization. The ideal candidate will be a true Business Partner with extensive Securities and Exchange Commission experience as well as experience with Merger & Acquisition and Intellectual Property.
The General Counsel will be expected to provide enterprise-wide leadership and forge substantive relationships throughout the Company! as well as with the Companyâs external stakeholder groups. ! The General Counsel will be responsible for managing a legal function to support the evolving needs of a fast-paced and rapidly changing business at Rosetta Stone. This role will include providing legal guidance and legal management best practices and operating standards related to business, federal and state laws and regulations, regulatory and legal strategic matters, and managing outside counsel.
The General Counsel will represent the Company in a broad range of corporate and commercial matters, including financial and commercial transactions, M&A, licensing, regulatory compliance, employment law, litigation management and corporate, court, and board governance. The General Counsel will be a part of the executive leadership team.
The position will be based in Arlington, VA and will require moderate travel in the US as well as international locations.
Job Profile Summary
- Provide legal advice regarding operations of publicly-held sof! tware company with responsibility for securities compliance and reporting, mergers and acquisitions, international and domestic transactions, labor and employment, intellectual property, litigation, corporate governance, compliance and other related business matters.
- Manage and supervise any litigation involving the Company and its affiliates.
- Serve as the Secretary to the Board and perform duties, including coordinating agenda and calendar, maintaining minutes and other records of the Board, and providing corporate governance advice and support.
- Manage the in-house legal team to ensure Company business initiatives are promptly reviewed and supported from the legal perspective.
- Create, implement and ensure adherence to governance, risk and compliance programs.
- Draft, review and negotiate contracts, licenses and other legal agreements including sales, distributor, real estate, marketing and non-disclosure agreements, and manage re! lated contract policies and procedures.
- Ensure that the Compan! yâs products are in compliance with applicable laws and regulations, including export control laws, data privacy and security laws, and consumer protection laws.
- Supervise outside counsel and expert advisers as needed.
- Provide hands-on, practical legal and business advice regarding matters affecting the Companyâs business.
- Develop risk management strategies as appropriate.
- Develop and provide comprehensive compliance training to employees.
- Oversee all matters relating to Intellectual Property for the company including patent, trademark, and copyright prosecution and enforcement matters.
- Other duties as assigned.
- Highly motivated leader who is comfortable setting direction and working with global teams.
- Training in a well-regarded law firm and experience working in-house managing lawyers.
- In-house experience at a public company with a preference f! or sitting general counsels or deputy/divisional general counsels.
- Substantial experience with commercial transactions, mergers and acquisitions, and securities law.
- Excellent interpersonal skill as a proven leader in establishing climate, culture and strategic directions that drive success.
- Demonstrated ability as a valued executive team member who can effectively and positively influence others in a team-oriented, collaborative environment.
- Excellent written and verbal communication skills: proven experience in developing relationships, building presence, and commanding respect with C-level Executives both internally and externally.
- Strong analytical and problem solving skills, evidenced by the ability to develop strategies that reduce potential areas of legal risk while furthering business objectives.
- Strong experience in supporting business transformation, active collaboration, agility, and the successful delivery of! solutions.
- High degree of professionalism and integrity with ! ability to handle confidential information appropriately.
- Ability to motivate teams to produce quality results within challenging timeframes and ongoing change.
- Possess strong and diverse relationships/network with legal and business leaders within relevant industries.
- 10-15 years of relevant and successful legal experience in a directly related field and successful demonstration of key responsibilities while working in a global organization, including at least 5 years in a high-tech, enterprise software or SaaS company.
- Juris Doctorate (JD) required from an accredited law school with an active bar license to practice is required/VA bar preferred. Bachelor's degree required.
- Contract and license review and negotiation experience.
- Experience in corporate governance, employment law and commercial matters.
- Broad international experience.
- Foreign language fluency a plus.
- Strong negotiation skills.
- Demonstrated leadership skills and experience running a staff of attorneys, legal assistants and other professional personnel.
