Primary duties and responsibilities are to proactively advise internal business clients on highly complex and state of the art legal issues including recommended legal strategies a! nd general programmatic and related legal advice. The successful candidate must be able to exercise independent judgment and employ strong legal and analytical skills in the following areas:
Main responsibilities:
- Serve as key legal advisor for the business including providing strategic advice on licensing and services matters and assist the business in structuring complex transactions.
- Review, negotiation, localization and drafting of all types of contractual documents, including end user software license agreements, software support agreements, consulting agreements, responses to proposals.
- Support and advise the public sector team in responding to highly complex requests for proposals, teaming agreements, nondisclosure agreements, standards certifications and required but non-standard government representations and certifications of various types
- Periodically engage with federal, state and local contracting officers! and government attorneys to resolve challenging public sector! legal issues in support of the public sector contracts manager
- Train the enterprise and public sector business management and other interested staff on federal and state contracting compliance requirements in support of sales and contracting activities
- Act as subject matter expert on information security and privacy issues in enterprise and public sector sales transactions, including offering advice and training as needed
- Provide exceptional customer service to internal and external customers and build strong relationships.
- Provide support and escalation to other team members on substantive legal issues.
- Collaborating with functional team members on ad hoc projects.
- Co-ordinate on development and implementation of new contract templates and contract management systems; ensure that all legal and business requirements are addressed appropriately.
- Provide primary liaison legal support where applicable on litigatio! n and compliance matters.
- Provide advice and support to other legal team members on various legal and regulatory matters
- Manage all compliance relating to public sector sales including management of information and reporting
- US law degree and bar membership in good standing
- Proven post qualification with a minimum of 8 years of experience in house with established technical/legal expertise from a medium to larger high technology business engaged in public sector and enterprise software and services sales support (including SaaS or other hosted services) or some combination as an associate at a law firm engaged in advising clients concerning these same business areas.
- Self-disciplined, highly organized and able to work without supervision and prioritise own workload to meet deadlines; excellent project management skills.
- Able to provide accurate, high-quality yet practical and conci! se legal advice.
- Flexible and adaptable in a changing and chal! lenging environment; able to think âout of the boxâ when unexpected/unplanned events arise.
- Confident and professional communication, presentation and negotiation skills.
- Excellent customer focus skills, both internal and external
- Comfortable in presenting complex issues in a concise manner to business executives.
Essential Requirements:
- In-depth experience in working with the Federal Acquisition Regulations, the DFARS and applicable agency supplements (knowledge of federal schedule contracting, e.g. GSA experience a plus)
- Sound knowledge and experience in practical application of contract law and government procurement and compliance with related government regulations.
- Experienced in training field sales and consulting services organizations on public sector related issues, including procurement integrity, teaming issues, bid protests, FOIA and related topics.
- ! Sound working knowledge of commercial, IT/IP law
- Experience in drafting and negotiation of contracts with public sector clients and businesses (i.e. partners) serving the public sector
- Experience working for US publicly-traded company; understanding of revenue recognition principles, Sarbanes-Oxley etc
- IT Literate, with working knowledge of using Word, Excel and Powerpoint.
- Fluent in English
- Security clearance or the ability to qualify for a security clearance is required
- Experience of working in an in-house legal department and researching and advising on a variety of legal issues.
- Experience in other relevant areas such as data privacy, compliance and/or competition.
- Interest & knowledge of technology and current trends in software / IT industry.
