This position serves as a member of the NDC Legal Department working under the supervision of the lead corporate counsel for Akima, LLC. The position provi! des legal consultation and general advice in support of the government contracts functional area. May supervise outside counsel.

DUTIES AND RESPONSIBILITIES:
 Serve as the day to day attorney/legal advisor to one of more of the Company’s business sectors and/or departments.

ï‚§ Assists in the review, drafting and negotiation of U.S. Government and commercial contracts, sub-contracts, and purchase order terms and conditions.

 Provide legal oversight and support for other transactional legal work, including the review, drafting and negotiation of specialized commercial and other agreements such as Memoranda of Understanding, Memoranda of Agreement, Teaming Agreements, Non-disclosure Agreements, Mentor Protégé Agreements, Confidentiality and Licensing Agreements.

ï‚§ Create templates and form contracts for routine transactions.

ï‚§ Participate in the review, analysis, and execution of government contracts opport! unities to ensure compliance with Company policies and U.S. an! d foreign laws and regulations.

ï‚§ Participate in the definition, development and continuing legal oversight of corporate policies concerning Government and commercial contracting, compliance and related matters.

ï‚§ Represent the companies in one or more sectors in all aspects of federal procurements, including bid protests; contract review and negotiation, performance and terminations; DCAA audits; government investigations; data rights/IP; and dispute resolution, litigation and ADR.

ï‚§ Conduct training of personnel on compliance with contracting related policies and procedures and related matters.

ï‚§ Support other members of the Legal Department in due diligence activities in connection with M&A and other extraordinary transactions.

ï‚§ Conduct and provide legal support to internal investigations on an as needed basis.

ï‚§ Manage outside counsel as needed on litigation, contract, commercial or transactional matters! .

Qualifications

QUALIFICATIONS & EXPERIENCE REQUIRED:
ï‚§ 8 or more years of relevant, hands-on experience in the practice area of government contracting/subcontracting;

ï‚§ Experience with government contracts administration and associated laws, rules, and regulations including commercial items contracting requirements, Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFAR), International Trade in Arms Regulations (ITAR) and the Federal Information Security Management Act (FISMA, Truth in Negotiations Act (TINA), Procurement Integrity Act, Foreign Corrupt Practices Act (FCPA), among others;

ï‚§ Experience in advising clients on ways to minimize and mitigate business risk;

ï‚§ Experience in drafting, reviewing and negotiating commercial and federal government contracts and subcontracts for both services and products; experience with multiple agencies preferred;

ï‚§ Experience in! legal analysis and research, contracts/subcontract drafting and negoti! ation, client management, and government contract protest prosecution and defense, claims preparation and dispute resolution;

ï‚§ A collaborative demeanor with demonstrated experience managing and meeting expectations of operations, sales, business development, and contract teams;

ï‚§ Ability to work collaboratively as part of a broader Legal team;

ï‚§ Ability to manage multiple projects and meet deadlines;

ï‚§ Experience in international contracts and transactions, including doing business in foreign countries and export licensing strongly preferred;

ï‚§ Experience in small business contracting strongly desirable.

ï‚§ Working knowledge of the Uniform Commercial Code and secured transactions law preferred.

ï‚§ Appreciation and respect for Inupiaq culture and values.

OTHER JOB REQUIREMENTS:
ï‚§ J.D or LLB from an accredited law school;

ï‚§ Admitted to the bar in Maryland, Virginia and! /or the District of Columbia, ability to waive in or ability to obtain corporate counsel status in VA Bar in the event not admitted in Virginia;

ï‚§ Job location is Herndon, VA

ï‚§ US Citizenship with the ability to obtain a government security clearance.
