Director, Corporate Development Duties: Will be involved in identifying prospective target opportunities, performing strategic and quantitative analyses! , conducting due diligence, determining appropriate valuation and structure, developing strategy for and conducting negotiations, driving activities to closure, and coordinating with integration team members. On a typical transaction, will be responsible for leading all aspects of the transaction and will carry out tasks by managing a cross-functional team involving Business Units and Corporate Departments (e.g. Finance and Tax, Legal, Human Resources, Environmental, and Treasury). Lead and execute both domestic and international acquisition, divestiture, and joint venture transactions including the strategic evaluation, financial analysis and model, due diligence, transaction strategy, deal negotiation and execution, and closing process. Coordinate and direct Business Unit and Corporate Department resources as well as external advisor relationships (investment banks, law firms, accounting firms) required to evaluate and complete a transaction. Assist in evaluating new mark! ets for growth: market and competitive analyses, fit with orga! nization, financial implications, and entry strategy. Support development of corporate strategic objectives that will be used to drive broader business unit strategy process. Lead projects which will feed into the corporate strategy. Work closely with senior leadership and broader Corporate Strategy and Financial, Planning and Analysis teams to prepare key materials for Board of Directors and Senior Management meetings.
Requirements: A BA or BS undergraduate degree in a related degree, an MBA and/or J.D. degree. 5-15 years of M&A / corporate development experience, including 3-5 years of running all aspects of acquisition and investment transactions (ideally following MBA). International deal execution experience preferred. The ideal candidate should have excellent written and verbal communication skills, and have a strong financial analysis and business skills including: robust valuation expertise; commercial, investment and acquisition contract review; neg! otiation and due diligence; and the ability to work independently across multiple business unit and corporate groups. Strong strategic assessment, financial statement analysis, and financial/valuation modeling skills to effectively evaluate opportunities. Strong skills in project management, negotiations, communication and leadership. Must have demonstrated ability to work cross-functionally, manage teams and supervise outside professionals. Must be professional, articulate and able to communicate effectively to all levels of the organization. Advanced competency with necessary software and web-based tools, particularly Excel, PowerPoint, and CapitalIQ.
