In-house Counsel The candidate will provide legal counsel on a wide variety of corporate banking and bank system issues. Will provide legal counsel and advice! on a variety of legal matters and projects throughout the bank including the development of updated policies for governance across the Office of finance. Provide prompt and effective legal support to departments across the organization and working closely with outside counsel, and with other members of senior management. Identify and address legal issues relating to the business and operations; recommend resolution or alternative approaches and courses of action; and provide legal counsel and support to internal bank clients, including Senior Management and the Board of Directors regarding legal issues affecting the Office of Finance. Represent and advocate the bank's position in meetings with representatives of the Federal Housing Finance Agency ('FHFA') and other third parties such as vendors. Conduct legal research and prepare memos, position papers, correspondence or other materials summarizing and applying research and analysis to bank issues. Plan and supervise proje! cts and coordinate with outside counsel, consultants, and othe! r resource providers. Participate in meetings and provide legal advice to numerous committees of the bank and other interdepartmental committees and task forces to ensure compliance with applicable laws, regulations, and policies and to protect the bank from legal risks. Act as a liaison between the bank, the FHFA, and other Federal Home Loan Banks in connection with significant legal and policy issues, including those respecting the bank's responsibilities and authorities as a government sponsored enterprise and Government Sponsored Enterprise. Actively participate in work of the Federal Home Loan Bank counsel subcommittees and task forces on a variety of System issues, as necessary. Help monitor regulatory, legislative, and judicial developments that have significance for the Bank System, and keep management informed of developments. Provide legal advice and support to all bank departments regarding general corporate governance matters and draft minutes and resolutions in! connection with matters presented to or acted upon by the bank's Board of Directors and its Committees. Provide legal advice and support to the human resources department in connection with employee benefits and other employee-related matters. Assess standard policies, procedures, processes and documentation for compliance with applicable laws and regulations and devise alternative approaches, as appropriate. Ad hoc projects and other duties as assigned.

The candidate should have a J.D. degree from an accredited law school. Bar admission in any state or the District of Columbia is required. Must have 5+ years of experience in a comparable attorney position or law firm. Focus on financial institutions, regulatory, and corporate law strongly preferred. Broad general knowledge and understanding of banking and financial markets, financial and economic analysis, and financial statements are required. Familiarity with applicable software (e.g. MS Office) and information! research and retrieval systems (e.g. Westlaw, Lexis) needed. Experienc! e negotiating services with vendors preferred. Ability to communicate concisely, effectively and in plain English is essential.
