Senior Manager, Senior Counsel â€" Capital Markets
This Senior Manager, Senior Counsel will be responsible for executing on a range of capital markets transactio ns and other corporate treasury initiatives, with a primary focus on securitization.
Representative responsibilities include:
- Managing, including drafting and negotiating, a range of capital markets transaction agreements and offering documents, including publicly-filed registration statements and prospectuses, securitization program agreements (RPAs, PSAs, Indentures, etc.), underwriting agreements, related corporate governance documentation and legal aspects of related compliance and investor reporting, all with minimal supervision.
- Counseling and advising client groups on capital markets matters, including related regulatory and compliance matters under Regulation AB, and providing advice on complex or novel legal issues.
- Managing and coordinating with outside counsel, including management of budgets and delivery of services.
- Managing repeatable, controlled processes for transactional work.
The Person
An id eal candidate will be a seasoned legal professional with a proven ability to operate effectively in a complex, highly regulated and evolving environment and will have: the ability and willingness to work as a team player, interacting with associates across departments and job levels; the ability to work in a fast-paced environment with minimal supervision; strong negotiation skills and the ability to identify, lead and manage a negotiation team; strong organizational skills with impeccable attention to detail; excellent analytical, oral and written communication skills; and the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries. The ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical.
Basic Qualifications:
- Juris Doctorate (J.D.)
- At least 5 years of capital markets transactional experience as an attor ney in a law firm, in-house legal department, or combination of law firm & in-house legal department
Preferred Qualifications:
- 6+ years of transactional capital markets experience in a major law firm and/or in-house legal department, with primary focus on securitization transactions and related regulatory issues, representing issuers or underwriters in the financial services industry
